Job Description
• This is a remote, project-by-project role for Investment Banking or Private Equity professionals with 1–3 years of experience and hands-on familiarity with dataroom workflows and due diligence processes. You will review, organize, and analyze dataroom materials — including CIMs, financial statements, legal agreements, cap tables, and supporting transaction documents — applying your IB or PE training to real-world deal documentation. Work is over the next 2–3 weeks, asynchronous, and assigned on a project-by-project basis, with an expected commitment of 10–20 hours per week for the projects you accept. Responsibilities
• Review and analyze dataroom materials including CIMs, financial statements, management presentations, legal agreements, and supporting deal documents
• Organize, index, and summarize dataroom contents into structured diligence trackers and document logs
• Identify missing, inconsistent, or materially significant items within dataroom document sets
• Produce clear, structured written summaries and annotations of key dataroom findings with precise document citations
• Apply IB and PE analytical frameworks to support financial and commercial due diligence workstreams
Required Qualifications
• 2–5 years of professional experience in investment banking, private equity, or a closely related finance role
• Direct experience working with datarooms and transaction due diligence materials (e.g., Intralinks, Datasite, Box, or similar platforms)
• Strong financial literacy including familiarity with financial statements, valuation concepts, and deal documentation
• Excellent written communication skills and ability to produce clear, organized, citation-supported document summaries
• Ability to work independently, follow detailed guidelines, and manage time effectively across asynchronous tasks
Preferred Qualifications
• Experience on the buyside or sellside of M&A, leveraged finance, or private credit transactions
• Familiarity with legal transaction documents including NDAs, LOIs, purchase agreements, and disclosure schedules
• Exposure to sector-specific diligence workflows in industries such as energy, real estate, healthcare, or technology
• Bachelor's degree in Finance, Economics, Accounting, or a related field from a competitive undergraduate program
